Mendory Terms of Use

1. About these Terms

These Terms of Use (“Terms”) govern your use of the Mendory website, accounts, therapist listings, search and matching features, messaging, Request a Therapist service, Client Opportunities, subscriptions and other services made available through Mendory.

In these Terms, “Mendory”, “we”, “us” and “our” mean Mendory Ltd.

By creating an account, publishing a therapist listing, purchasing a Mendory plan or otherwise using an account-based Mendory service, you agree to these Terms.

If you use Mendory on behalf of a business, practice or other organisation, you confirm that you have authority to do so.

Nothing in these Terms removes or limits any rights that cannot lawfully be excluded.

2. Minimum age

Mendory accounts and interactive client features are intended for people aged 18 or over.

You must not independently create a Mendory account if you are under 18.

People under 18 must not independently submit health information through AI Matching, Request a Therapist, Mendory messaging or other interactive client features.

An adult parent, guardian or other responsible adult may use Mendory to search for an appropriate therapist for a child or young person.

A therapist stating that they treat children does not mean that Mendory's account or matching services are intended for independent use by somebody under 18.

3. What Mendory does

Mendory is an online platform designed to help people discover and contact therapists.

Features may include:

• therapist profiles and listings;

• manual therapist search;

• AI Matching;

• Request a Therapist;

• Client Opportunities for eligible therapists;

• direct enquiries and messaging;

• saved therapists;

• therapist verification;

• therapist profile analytics;

• links to therapist websites and booking systems; and

• free and paid therapist plans.

Mendory may introduce, change or discontinue features over time in accordance with these Terms and applicable law.

4. What Mendory does not do

Mendory is not a healthcare provider.

We do not provide medical advice, clinical assessment, diagnosis, treatment or emergency healthcare.

Therapists listed on Mendory are independent professionals. Unless we expressly state otherwise, they are not employees, workers, partners, representatives or agents of Mendory.

Mendory is not normally a party to the agreement between a client and a therapist for assessment, treatment, appointments or other professional services.

The therapist is responsible for the services they provide and the client is responsible for deciding whether to engage that therapist.

Mendory does not guarantee the effectiveness, safety or outcome of treatment.

5. Emergencies and urgent healthcare

Mendory must not be used as an emergency service.

AI Matching, Request a Therapist, therapist search and messaging are not designed to assess emergencies and are not continuously monitored by healthcare professionals.

Mendory may use automated checks intended to identify some obviously urgent wording, but these checks cannot identify every emergency and must not be relied upon as a medical assessment.

If you believe that you or somebody else is in immediate danger or requires urgent medical attention, call 999 or use an appropriate urgent healthcare service.

6. Client accounts

If you create a client account, you agree to provide accurate information and to keep your account secure.

Client accounts may be used to search for therapists, save therapists, contact therapists, participate in conversations and access other client features made available by Mendory.

You are responsible for activity carried out using your account unless the activity results from something for which Mendory is legally responsible.

You must tell us promptly if you believe somebody has obtained unauthorised access to your account.

7. Therapist accounts and listings

If you create or manage a therapist listing, you confirm that you are acting for purposes relating to your profession, trade, practice or business.

You are responsible for ensuring that information you provide is accurate, current and not misleading.

This includes, where applicable:

• your name and practice information;

• profession;

• qualifications and training;

• professional registration or memberships;

• insurance information;

• experience;

• services and specialisms;

• fees;

• availability;

• practice locations;

• session types;

• contact information;

• website and booking links; and

• claims made in your profile description.

You must have any qualification, registration, insurance, permission or authorisation that is legally or professionally required to provide the services you advertise.

You are responsible for complying with the professional, regulatory, insurance, tax and legal obligations that apply to your practice.

Mendory may ask you to provide evidence supporting information shown on your listing.

8. Therapist independence

Therapists remain responsible for deciding whether a client's needs fall within their competence and scope of practice.

Mendory matching, ranking, verification or Client Opportunity systems do not constitute a clinical referral and do not remove the therapist's professional responsibility to assess whether it is appropriate to accept a client.

Therapists are independently responsible for matters including informed consent, clinical assessment, treatment, record keeping, safeguarding, professional confidentiality and their own privacy obligations.

Mendory does not set the clinical services a therapist must provide.

Unless a specific Mendory feature expressly states otherwise, clients and therapists arrange treatment, appointments and treatment payments directly between themselves.

9. Therapist verification

Mendory may offer eligible therapists the opportunity to apply for verification.

Premium membership may make a therapist eligible to use the verification process, but purchasing Premium does not automatically make a therapist verified and does not guarantee that verification will be approved.

Mendory may ask for evidence including qualifications, professional registrations, memberships, identity or insurance documentation.

A Verified badge means that Mendory reviewed the evidence required by the verification process applying at the time of the review.

Verification is not:

• an endorsement by Mendory;

• a guarantee of clinical competence;

• a guarantee that all information about the therapist has been independently investigated;

• a guarantee of future conduct; or

• a guarantee that the therapist is appropriate for a particular client.

Mendory may remove, suspend or review verification where information expires, changes, cannot be confirmed or gives rise to a reasonable concern.

10. Search results, ranking and visibility

Mendory uses a number of factors to determine which therapist listings are shown and how they are ordered.

The most important factors generally relate to how closely a therapist profile corresponds with what the user is looking for. Depending on the feature being used, these may include:

• profession;

• services;

• specialisms;

• treatment preferences;

• geographic location and distance;

• session type;

• availability;

• accessibility or other selected filters;

• information contained in the therapist's published profile; and

• relevance to the client's expressed requirements.

These factors are important because Mendory aims to show therapists who correspond with the criteria selected or described by the user.

A therapist's Mendory subscription may also affect visibility.

Premium therapists may receive increased visibility, including priority placement within suitable search results, increased visibility within AI Matching and eligibility for featured placements.

Paid visibility is therefore a commercial ranking factor, but it does not guarantee that a Premium therapist will appear first, appear in every search or be shown where they do not meet relevant search criteria.

Featured therapist areas may contain eligible Premium listings and may rotate or randomise eligible profiles.

Where a user specifically selects a filter such as verification, that selection may determine which therapists remain eligible to be displayed.

Mendory may refine its ranking and matching systems to improve relevance, fairness, performance, security or user experience.

Where applicable law requires us to notify therapist business users of a material change affecting the contractual service, we will provide the required notice.

11. AI Matching

AI Matching is an optional discovery tool.

It may use artificial intelligence to interpret information entered by a user and compare that information with therapist listing data.

AI-generated interpretations and matches may be incomplete, inaccurate or unsuitable.

AI Matching:

• does not diagnose medical conditions;

• does not prescribe treatment;

• does not provide medical advice;

• does not guarantee that a therapist is suitable; and

• does not replace professional clinical assessment.

Users remain responsible for reviewing therapist profiles and deciding who, if anyone, they wish to contact.

Therapists remain responsible for assessing whether they are professionally able to assist a particular client.

Users who do not wish to use AI Matching can use Mendory's manual therapist search.

Health information submitted through AI Matching is handled as described in our Privacy Policy and relevant consent process.

12. Request a Therapist

Request a Therapist allows an eligible client to submit information about the type of therapist or support they are seeking.

A request may contain health-related information.

Where required, the client must provide explicit consent before submitting health information and allowing relevant information to be shared with suitable matched therapists.

A Request a Therapist submission normally remains open for up to 14 days, unless it is withdrawn or closed earlier.

Mendory may match a request with therapists whose profiles appear potentially suitable.

Matching does not constitute a recommendation, endorsement or clinical referral.

A request is currently limited to a maximum of five therapist responses.

The fact that a therapist receives, views or responds to an opportunity does not guarantee that the client will contact or select that therapist.

The fact that a client receives a response does not guarantee that the therapist will ultimately be able or willing to provide treatment.

Clients may withdraw eligible requests through the functionality provided by Mendory.

13. Client Opportunities

Client Opportunities are therapist-facing opportunities created from suitable Request a Therapist submissions.

Access to the details of Client Opportunities and the ability to respond may be restricted to Mendory Premium therapists.

Premium therapists currently have unlimited opportunity responses, meaning Mendory does not impose a monthly response-credit allowance on the therapist. This does not override the maximum number of therapist responses permitted on each individual client request.

Client Opportunity availability depends on real client requests and matching. Mendory does not guarantee:

• a minimum number of opportunities;

• that opportunities will be available in a particular location or profession;

• that a therapist will match any particular request;

• that responding will result in contact;

• that responding will result in an appointment; or

• any particular financial return from Premium.

Information disclosed through a Client Opportunity may only be used for deciding whether to respond to the client's request and for legitimate follow-up arising from that request.

Therapists must not sell, disclose, scrape, compile or use Client Opportunity information for unrelated advertising, marketing, lead databases or other unrelated purposes.

14. Messaging and enquiries

Mendory may allow clients and therapists to communicate through the platform.

You must use messaging lawfully and respectfully.

You must not use Mendory messaging to send spam, abusive communications, harassment, threats, unlawful material or deceptive content.

Messaging is not an emergency or clinical monitoring service.

Clients should avoid placing unnecessary sensitive information into an initial enquiry.

Therapists are responsible for moving clinical communications or records to an appropriate professional system where necessary.

Mendory may restrict messaging or take action where reasonably necessary to address abuse, safety risks, fraud, security issues or violations of these Terms.

15. Freemium

Mendory may offer a free therapist plan.

The features, limits and availability of the free plan are described on the Plans & Pricing page or within the therapist account.

A Freemium listing does not entitle the therapist to all Premium functionality.

Mendory may develop the free service over time.

Where a change is subject to a legal notice requirement applying to therapist business users, Mendory will comply with that requirement.

16. Mendory Premium

Mendory Premium is a paid service for therapists who wish to access additional features and visibility.

Premium benefits may include, depending on the features currently offered:

• increased search visibility;

• boosted AI Matching visibility;

• featured placement;

• Client Opportunities;

• enhanced profile functionality;

• additional specialisms or services;

• website and booking links;

• Google rating or review information;

• therapist verification eligibility; and

• profile analytics.

The current features and price are displayed before purchase.

Premium does not guarantee enquiries, clients, appointments, income or a particular search position.

Premium is provided to therapists for purposes relating to their professional or business activity.

17. Founding Member offer

Mendory may offer an introductory Founding Member Premium price.

The launch Founding Member offer is £5.99 per month.

A therapist who starts Premium while the Founding Member offer is available will retain the £5.99 monthly subscription price for as long as that same Premium subscription remains continuously active.

Mendory may end the Founding Member offer for new subscribers at any time. Ending the offer for new subscribers will not change the £5.99 monthly price of an existing continuously active Founding Member subscription.

If the subscription is cancelled or otherwise ends and the therapist later rejoins Premium, the Founding Member price is not guaranteed. The price available at the time of rejoining will apply.

A temporary payment problem will not by itself remove Founding Member status where the subscription remains active or the payment issue is resolved within any payment-recovery process provided by Mendory or its payment provider.

“Founding Member” is a promotional membership status only. It does not give the subscriber shares, ownership, voting rights or any other financial interest in Mendory Ltd.

18. Premium billing, renewal and cancellation

Unless expressly stated otherwise at checkout, Premium is billed monthly and automatically renews for successive monthly billing periods until cancelled.

The applicable price and billing frequency are displayed before purchase.

Payments are processed through the checkout and payment services used by Mendory.

You may cancel Premium using the cancellation functionality made available through your account or the relevant subscription-management process.

Cancellation normally prevents the next renewal payment.

Unless otherwise stated or required by law, Premium benefits remain available until the end of the billing period already paid for.

Payments already made are not normally refunded simply because the subscriber chooses not to use Premium for the remainder of a paid billing period.

This does not affect any refund, cancellation or other right that cannot lawfully be excluded, including rights relating to an incorrect charge or failure to provide the contracted service.

Because Premium is offered to therapists to promote or operate their professional services, it will normally be purchased for business purposes. If applicable law nevertheless gives a particular subscriber additional consumer rights, those rights remain unaffected.

19. External websites and booking systems

Therapist profiles may contain links to external websites, social-media accounts, booking platforms or other third-party services.

Mendory does not control those external services.

A link does not mean that Mendory endorses the external service.

When you leave Mendory, the third party's own terms, privacy notice, cancellation policies and other rules may apply.

Mendory is not responsible for an external provider's content, availability, security or performance except to the extent that the law provides otherwise.

20. User content

You retain ownership of content you submit to Mendory, subject to any rights belonging to other people.

By uploading or publishing content such as listing descriptions, photographs, logos or other profile material, you confirm that you have the necessary rights and permissions to use it.

You grant Mendory a non-exclusive, royalty-free licence to host, store, reproduce, format, resize, display and otherwise use that content to operate, display and promote your Mendory listing and the Mendory platform.

This may include displaying public listing information in Mendory search results, featured areas and reasonable Mendory promotional material.

You must not upload content that infringes another person's copyright, trade mark, privacy, confidentiality or other rights.

When content is removed, Mendory will stop actively using it where reasonably practicable, although copies may remain temporarily in backups, legal records or material legitimately created while the licence was active.

21. Mendory intellectual property

The Mendory name, branding, website design, software, platform functionality, databases, original text and other Mendory-created materials are owned by Mendory Ltd or used under licence.

These Terms do not transfer ownership of Mendory intellectual property to you.

You may use Mendory only for the purposes permitted by these Terms.

You must not reproduce, commercially exploit, copy or distribute protected Mendory material without permission except where the law expressly allows it.

22. Prohibited conduct

You must not:

• use Mendory unlawfully, fraudulently or deceptively;

• impersonate another person;

• create misleading therapist credentials or claims;

• harass, threaten or abuse another user;

• send spam or unsolicited marketing through Mendory;

• scrape, harvest or systematically extract profiles, requests, contact details or platform data without permission;

• create or sell databases derived from Mendory content;

• attempt to bypass access controls, Premium restrictions, security controls or usage limits;

• interfere with the operation or security of Mendory;

• introduce malware or harmful code;

• attempt unauthorised access to accounts, systems or data;

• reverse engineer protected parts of the platform except where the law expressly permits it;

• use client health or Request a Therapist information for unrelated purposes;

• disclose confidential information obtained through a Client Opportunity without a lawful reason;

• publish unlawful, defamatory or infringing material; or

• use Mendory in a way that could reasonably create a serious safety, privacy or security risk.

23. Restricting, suspending or removing accounts and listings

Mendory may restrict a feature, suspend an account, archive or remove a listing, remove content or terminate access where there is a reasonable basis to do so.

Grounds may include:

• serious or repeated breaches of these Terms;

• fraudulent or deceptive activity;

• misleading professional information;

• failure to provide evidence reasonably required to support material listing claims;

• unlawful conduct;

• misuse of client information;

• harassment or abusive behaviour;

• a significant safety concern;

• security threats;

• unauthorised access;

• non-payment of a paid service;

• regulatory or legal requirements; or

• conduct that materially threatens the integrity of the Mendory service.

Where we restrict or suspend a therapist business user's service, we will provide reasons before or at the time of the action where required by applicable law.

Where applicable law requires advance notice before terminating the entirety of a therapist business user's platform service, Mendory will normally provide at least 30 days' notice together with the reasons.

Advance notice may not apply where immediate action is legally required or where another recognised exception permits immediate termination, including certain repeated breaches or serious legal, fraud, security or safety issues.

Where appropriate, a therapist may contact Mendory to provide information explaining why they believe a restriction, suspension or termination should be reviewed.

24. Account closure

Users may request closure of an eligible Mendory account.

Mendory may provide a recovery period after an account-closure request. The current account-closure process provides a 30-day recovery window, subject to any conditions explained during closure.

A therapist's public listing may be archived when account closure begins.

Where an active paid subscription has already been paid for, relevant Premium access or subscription processing may continue until the end of the applicable paid period before final closure steps are completed.

Personal information is retained or deleted in accordance with Mendory's Privacy Policy and applicable legal obligations.

Closing an account does not remove obligations or liabilities that arose before closure.

25. Therapist access to platform data

While an eligible therapist account remains active, Mendory may provide the therapist with access to information relating to their listing, subscription, messages, Client Opportunities and aggregated profile analytics.

Therapists do not receive unrestricted access to Mendory's underlying databases.

In particular, Mendory may withhold or aggregate information such as:

• raw visitor identifiers;

• another user's private account information;

• internal fraud or security information;

• confidential matching logic;

• raw analytics event records;

• internal match scores or matching reasons where disclosure would compromise privacy, security or the platform; and

• information that Mendory is not legally permitted to disclose.

After an account or listing is closed, normal platform access may cease. Retention and privacy-access rights are governed separately by our Privacy Policy and applicable law.

26. Freedom to offer services elsewhere

Therapists are free to advertise and provide their professional services through their own website, other directories, other platforms or directly to clients.

Mendory does not require therapists to make Mendory their exclusive marketing or booking platform.

Unless a specific promotion expressly states otherwise, Mendory does not require therapists to offer the same prices or commercial terms on Mendory as they offer elsewhere.

27. Availability of Mendory

We aim to keep Mendory available and functioning, but we do not guarantee uninterrupted or error-free access.

The platform may occasionally be unavailable because of maintenance, upgrades, third-party service failures, security incidents or circumstances outside our reasonable control.

We may change technical functionality where reasonably necessary to maintain, secure or improve the service.

Nothing in this section affects any legal right relating to a paid service that cannot lawfully be excluded.

28. No guarantee of therapist or client suitability

Mendory search results, ranking, AI Matching, verification and Request a Therapist matching are discovery tools.

They do not amount to a personal recommendation by Mendory.

Clients should consider the therapist's profile, qualifications, regulatory status where relevant, insurance, experience, fees and other information before engaging them.

Therapists must make their own professional decision about whether to accept an enquiry.

Mendory cannot guarantee that information supplied by another user will always be complete or accurate.

29. Liability

Nothing in these Terms excludes or limits liability where doing so would be unlawful.

In particular, nothing excludes liability for fraud or fraudulent misrepresentation, or liability for death or personal injury caused by negligence where such liability cannot lawfully be excluded.

Nothing in these Terms limits statutory consumer rights that apply to a user.

Mendory is responsible for providing the Mendory platform in accordance with obligations that apply to us.

Mendory is not responsible for the independent clinical or professional acts or omissions of a therapist simply because that therapist is listed, matched or contacted through Mendory.

Mendory is not responsible for treatment outcomes, clinical decisions or disputes arising solely from the independent therapist-client professional relationship.

For users acting in the course of a business, Mendory will not, to the extent permitted by law, be liable for indirect or consequential loss, loss of profit, loss of anticipated revenue, loss of business opportunity or loss of goodwill arising solely from use of the platform.

This section does not limit liability that cannot legally be limited.

30. Privacy and health information

Use of personal information on Mendory is governed by our Privacy Policy.

The Privacy Policy explains, among other things, how Mendory handles account information, therapist listings, messages, AI Matching, health information, Request a Therapist data, analytics, subscriptions, cookies and account closure.

Where Mendory requires explicit consent to process health information, agreeing to these Terms does not replace that separate consent.

31. Changes to these Terms

Mendory may update these Terms where reasonably necessary, including because of changes to the platform, law, regulation, security requirements or business operations.

We will make the updated Terms available on Mendory.

Where a material change affects therapist business users and applicable platform law requires advance notice, we will normally give at least 15 days' notice on a durable medium, and longer where required to allow reasonable technical or commercial adaptation.

A shorter notice period may apply where a change must be made urgently because of law, regulation, fraud, malware, data breaches, spam, cybersecurity or another recognised exception.

Material changes will not be used to remove the contractual £5.99 Founding Member price guarantee from a qualifying continuously active Founding Member subscription.

Where applicable law gives a user the right to terminate because of a proposed change, that right is unaffected.

32. Complaints and disputes

If you have a problem with Mendory, we encourage you to contact us first so that we have an opportunity to investigate.

Therapists may also contact Mendory to request review of decisions affecting their listing or account.

Nothing in these Terms prevents either party from using a court, regulator, ombudsman or other dispute-resolution route where they have a legal right to do so.

33. Governing law and courts

These Terms are governed by the laws of England and Wales.

If you are using Mendory as a consumer, this choice of law does not remove any mandatory protection you have under the law that applies to you.

A consumer may bring proceedings in any court in which applicable law permits them to do so.

For therapist business users and other business users, the courts of England and Wales will have exclusive jurisdiction, except where applicable law requires otherwise.

34. General provisions

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply.

A delay by Mendory in enforcing a right does not mean that we have waived that right.

You may not transfer your Mendory account or your rights under these Terms to another person without our agreement.

Mendory may transfer its rights or obligations as part of a genuine restructuring, investment, sale or transfer of the business, provided that doing so does not unlawfully reduce your rights.

These Terms, together with the Privacy Policy, applicable plan information shown before purchase and any additional terms expressly applying to a specific Mendory service, form the agreement governing your use of Mendory.
